About the Event

 

This workshop is intended for the entrepreneur who is considering starting a Silicon Valley business or a China related business.  The basic steps, documents, timing and issues involved in forming a company will be discussed. The workshop will identify and discuss each of the documents (articles of incorporation, board organizational resolutions, by-laws, founders stock purchase agreements, etc.) required to complete the formation of a corporation.  Issues covered will include:

 

1)       *  Selecting the place of incorporation

2)       *  Basics of initial capitalization

3)       *  Allocation of stock among founders

4)       *  Determining vesting schedules for founders

5)       *  Size and composition of the Board of Directors

6)       *  Adopting and using stock option plans

7)       *  Avoiding intellectual property issues at startup

8)       Come and attend this interactive and hands on learning workshop. Please prepare and bring your pen to work on the workshop quiz.

Fred Greguras
Mr. Greguras focuses on strategic legal issues for both U.S. and international Internet, software and life sciences companies. His practice includes start-up issues, financings, licensing and other commercial transactions.  He has also been a general counsel and CFO for a venture-backed startup..
